The form of the enterprise
There are four types of commercial enterprises:
• A sole trader
• The general partnership
• A public limited company (plc)
• A limited company (Ltd.)

Slide 6 - Tekstslide

The form of the enterprise
A sole trader (=eenmanszaak)

One person is the owner and in charge.

The company is not a legal entity.
The owner is personally liable (=persoonlijks aansprakelijk) and can lose his/her private assets.

Continued existance is poorly arranged.

Slide 7 - Tekstslide

The form of the enterprise
The general partnership (=Vennootschap onder firma)

Two or more persons are the owners and in charge.

The company is not a legal entity.
The owners are personally liable (=persoonlijks aansprakelijk) and can lose their private assets.

Continued existance is better arranged. If one owner becomes ill the other owner can take over.

Slide 8 - Tekstslide

The form of the enterprise
A public limited company (=Naamloze vennootschap)

Shares are sold on the stock exchange (=aandelen beurs). Shareholder is part-owner of the company.

The company is a legal entity.
The owners/shareholders are not personally liable (=persoonlijks aansprakelijk) and can't lose their private assets.

Continued existance is no issue because a manager is leading the company and not the owners/shareholders.

Slide 9 - Tekstslide

The form of the enterprise
A limited company (=Besloten vennootschap)

Shares are not sold on the stock exchange (=aandelen beurs) but to people the owners know. Shareholder is part-owner of the company.

The company is a legal entity.
The owners/shareholders are not personally liable (=persoonlijks aansprakelijk) and can't lose their private assets.

Continued existance is no problem because part of the shares can be sold to another person.
